Board of Trustees

Headwaters School is a 501c(3) non-profit organization, and is run by a Board of Trustees. The trustees serve without compensation, and are professionals in the community who are committed to the Headwaters Mission. See the bylaws at this link, and our Trustee Committees here.

Trustee Committees

We have organized into committees designed to address our strategic needs and staffed with the appropriately skilled Trustees: 
  1. EXECUTIVE
    Description: This committee may exercise all the powers of the Board of Trustees during the interim between meetings in accordance with the bylaws. They may only act between meeting if permission has been delegated by the board.  The executive committee members serve as advisors to the chair. They also appoint or approve the appointment of all committee members.
  2. FINANCE
    Description: Consisting of no less than four (4) trustees, one of which must be the Treasurer and often the chair, the Finance committee also includes the principle business officer of the school.  This committee typically meets one week in advance of any regular board meeting.  This committee, in conjunction with the Head of School and the principle business officer of the school, is responsible for reporting on the overall management and supervision of the financial affairs of the school, including fundraising.  This committee oversees the audit, the preparation of the 990, and the annual school budget.
  3. FACILITIES (sub-committee of Finance)
    Description: This committee is a special committee of the board established to create a master facilities plan that aligns with the Head of School programmatic vision and the strategic plan for the school.
  4. TRUSTEES & GOVERNANCE
    Description: Consisting of no less than three (3) trustees, and one must not be a current parent, this committee focuses on recommendations and enforcement of standards, recruitment, nominations and onboarding of trustee and officer candidates, and lead the board’s efforts to support and evaluate the head of school. 
  5. MARKETING & ENROLLMENT 
    Description: This committee is a special committee of the board established to complete the rebrand (done), understand & foster our feeder school relationships, assess the competitive landscape, and support messaging to the community both from the school and the board. Additionally, this committee understands current enrollment & attrition trends and works to establish a plan to address both.  This committee supports both the Director of Communications and the Director of Admissions.
  6. WELLNESS & SAFETY
    Description: This committee is a special committee of the board established to assess and respond to the risks we face as a school that serves students 18 months to 18 years of age, across three distinct campuses. The focus will be on reactive, proactive and preventative measures we can take to ensure the wellness and safety of our community. Mental health and wellness will be a key focus along with assessment / response plans for current risks identified for our school.  
  7. HEAD SUPPORT & EVALUATION (sub-committee of Trustees & Governance)
    Description: This committee is a special committee of the board established to work with the Head of School in establishing annual goals and to facilitate regular meetings to support the Head of School in achieving the goals, as well as providing a forum for honest and candid discussions around any opportunities or challenges through the year.
